1. INTRODUCTION

These Terms and Conditions (“Terms”) govern your access to and use of the services, communications, and website of Massi Network Group, including its divisions, affiliates, and representatives (“Company”, “Massi”, “We”).

By accessing this website, engaging in communication, or participating in any opportunity introduced by Massi Network Group, you agree to be legally bound by these Terms.

2. NATURE OF SERVICES

Massi Network Group operates exclusively as an:

Independent Strategic Intermediary and Facilitator

Under no circumstances shall Massi Network Group be considered:

• A Buyer

• A Seller

• A Broker

• A Mandate Holder

• A Financial Advisor

• An Agent or Representative

Massi Network Group does not take title, ownership, possession, or control of any commodity or asset.

All transactions occur directly between Buyer and Seller.

3. NO AGENCY / NO FIDUCIARY RELATIONSHIP

Nothing in these Terms creates any:

• Partnership

• Joint Venture

• Agency

• Fiduciary Relationship

Massi does not represent, bind, or act on behalf of any party.

4. COMMODITIES TRANSACTIONS DISCLAIMER

All commodities transactions involve significant risk.

Massi Network Group:

• Does not guarantee the existence, availability, or quality of any commodity

• Does not guarantee delivery, performance, or execution

• Does not control logistics, storage, or transportation

• Does not participate in negotiations or contractual obligations

All agreements are executed solely between Buyer and Seller.

5. THIRD-PARTY NON-VERIFICATION

Massi Network Group does not independently verify:

• Sellers

• Buyers

• Refineries

• Financial institutions

• Documentation

Each party is solely responsible for conducting full due diligence.

6. NO RELIANCE

By engaging with Massi Network Group, you acknowledge:

You have not relied on any representation, statement, or information provided by Massi.

All decisions are made independently and at your own risk.

7. INDEPENDENT TRANSACTION RESPONSIBILITY

Massi Network Group is not responsible for:

• Negotiation

• Contract execution

• Payment processing

• Delivery or logistics

• Performance of any party

All responsibility lies solely between Buyer and Seller.

8. NO LIABILITY FOR FUNDS

Massi Network Group:

• Does not receive, hold, manage, or transfer funds

• Does not act as escrow or financial intermediary

All financial transactions are conducted directly between parties.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Massi Network Group shall not be liable for:

• Non-performance of any party

• Fraud or misrepresentation by third parties

• Loss of profits or business

• Delivery failures

• Market fluctuations

• Banking or payment failures

• Regulatory or sanctions issues

All services are provided “AS IS” and “AS AVAILABLE.”

10. INDEMNIFICATION

You agree to fully indemnify and hold harmless Massi Network Group and its affiliates from any:

• Claims

• Losses

• Damages

• Liabilities

• Legal costs

Arising from your participation in any transaction.

11. NON-CIRCUMVENTION & NON-DISCLOSURE

You agree not to bypass, circumvent, or avoid Massi Network Group in any transaction involving introduced parties.

This obligation remains valid for 36 months from the date of introduction.

In case of violation:

• A penalty of no less than 5% of total transaction value shall be due

• All commissions remain payable

This applies to all:

• Affiliates

• Partners

• Employees

• Associated entities

12. COMMISSIONS & COMPENSATION

Massi Network Group is entitled to a success fee upon:

• Execution of a SPA

• First lifting or delivery

• Financial commitment between parties

Commission obligations:

• Are irrevocable

• Survive termination

• Apply regardless of circumvention

13. CONFIDENTIALITY

All information, contacts, and communications provided by Massi are strictly confidential.

Unauthorized disclosure or use is strictly prohibited.

14. FORCE MAJEURE

Massi Network Group shall not be liable for failure or delay caused by:

• Acts of God

• War

• Government actions

• Sanctions

• Market disruptions

• Logistics failures

15. NO GUARANTEE

Massi Network Group does not guarantee:

• Funding

• Product availability

• Transaction success

All outcomes depend on third parties.

16. ELECTRONIC ACCEPTANCE

By using this website, submitting forms, or engaging with Massi:

You acknowledge and accept these Terms.

Electronic acceptance is legally binding.

17. GOVERNING LAW & JURISDICTION

These Terms shall be governed by the laws of the State of Florida.

Any disputes shall be resolved exclusively in:

Miami-Dade County, Florida, USA

18. SURVIVAL

The following clauses shall survive termination:

• Limitation of Liability

• Indemnification

• Non-Circumvention

• Commission Protection

19. SEVERABILITY

If any provision is deemed invalid, the remaining Terms remain enforceable.
